These terms govern your use of Curbrank's website (curbrank.com) and services. By using the site or signing up for our services, you agree to these terms. If you don't agree, don't use the service. Email [email protected] with questions.
1. Who we are
Curbrank is operated by Pro Shine Elite LLC ("Curbrank," "we," "us," "our"), a California limited liability company, providing website development and Google Business Profile management services.
2. The services
Free audit
The free audit is provided as-is, with no commitment from either party. You can request one without becoming a client. The audit may contain errors, incomplete information, or recommendations that don't fit your specific situation. Use it as a starting point, not a binding plan.
Website builds
One-time deliverables for a fixed price. You own the resulting website, code, content, and domain. Detailed scope, pricing, timelines, revision rounds, and refund policy are described on the Pricing page and confirmed in writing before kickoff.
SEO + GBP retainer
Monthly recurring service. Scope, pricing, deliverables, and cancellation terms are described on the Pricing page. The retainer is month-to-month with no contract, you can cancel any time without penalty.
3. Your responsibilities as a client
- Provide accurate information about your business (name, address, service area, hours).
- Add Curbrank as a manager on your Google Business Profile (use
[email protected]when Google asks for the email) so we can post and respond on your behalf, OR authorize OAuth access, your choice. - Approve content within 5 business days of submission. If you don't, we may publish without final approval to maintain posting cadence (you can request changes after).
- Pay invoices on time (Net 7 for retainers, 50/50 for builds).
- Notify us if your business undergoes significant changes (rebrand, address change, ownership change, suspension).
- Don't ask us to do anything that violates Google's terms, the law, or basic ethics. We will refuse and may terminate the engagement.
4. Our responsibilities
- Deliver agreed services on the agreed schedule.
- Be honest about what's working and what isn't.
- Protect your data per our Privacy Policy.
- Communicate proactively when something changes.
- Refund per the cancellation/refund terms on the Pricing page.
- Hand over all assets, credentials, and data on engagement termination.
5. Payment terms
- Invoiced via Stripe. Accepted: credit card, ACH, bank transfer.
- Web build: 50% upfront on kickoff, 50% on launch day.
- Retainer: monthly, auto-charged on the same day each month.
- Late payments: a 5-day grace period, then 1.5%/month interest accrues. Service may pause if more than 30 days late.

6. Cancellation and refunds
Detailed cancellation and refund terms are on the Pricing page. Summary:
- Retainer: cancel any time, month-to-month, no early-termination fee.
- Web build: refund schedule based on stage of work, 7 days full refund minus admin fee, after week 1 / 2 / 3 progressively reduced.
- Satisfaction guarantee: if we miss agreed deliverables, you cancel and we refund the affected month.
7. What we don't guarantee
- Specific Google ranking improvements (Google's algorithm isn't ours to control).
- Specific call volume or revenue increases.
- That your competitors won't also do the same things.
- That Google won't change their rules in ways that affect your visibility.
We do guarantee the work, posts published on schedule, reviews answered, websites delivered, reports sent. If we miss those commitments, see the satisfaction guarantee.
8. Intellectual property
- What you own: your domain, your final website code and content (post-launch), your logo, your business data, your customer data, all final reports, your tracking phone number (if you choose to keep it on cancellation).
- What we own: the Curbrank name, logo, website, audit-report templates, internal tools, Curbrank-developed code patterns and methodology.
- Mutual license: you may publicly mention "we work with Curbrank"; we may mention you as a client (with logo + name) on our website unless you opt out in writing.
9. Confidentiality
We treat your business information as confidential. We won't share your customer data, financial data, internal processes, or any non-public information with third parties except as required to deliver the service (e.g., processing payments via Stripe) or by law.
10. Acceptable use
Don't:
- Use our services to violate any law.
- Send us malware, malicious code, or attempt unauthorized access.
- Use the audit form to spam our inbox or test our systems.
- Misrepresent your identity, your business, or your authority to act on a business's behalf.
- Ask us to write fake reviews, post deceptive content, or violate Google's policies.
- Use our services to impersonate another business.
Violations may result in immediate termination without refund.
11. Termination
- You can terminate the retainer any time, no questions asked.
- We can terminate the engagement with 30 days notice for any reason, or immediately for: non-payment beyond 30 days, violation of acceptable use, fraud, or anything that puts us at legal risk.
- On termination, we hand over all credentials, data, and assets within 7 days.
12. Limitation of liability
To the maximum extent permitted by law:
- Curbrank's total liability for any claim arising from the service is limited to the amount you paid us in the 12 months preceding the claim.
- Curbrank is not liable for indirect, consequential, incidental, or punitive damages.
- Curbrank is not liable for losses caused by Google policy changes, search algorithm updates, GBP suspensions, third-party service outages, or any factor outside our reasonable control.
13. Indemnification
You agree to indemnify Curbrank from claims arising out of your business operations, your content, your representations to your customers, or your use of our services in violation of these terms.
14. Disputes
- First step: email [email protected]. We try to resolve disputes informally within 30 days.
- If unresolved: binding arbitration administered by JAMS or AAA in San Diego, California, applying California law.
- Class actions are waived; disputes are resolved individually.
- Either party may seek injunctive relief in court for IP or confidentiality violations.
15. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any litigation not subject to arbitration takes place in San Diego County, California.
16. Changes to these terms
We may update these terms occasionally. Material changes will be communicated via email to active clients at least 30 days before taking effect. Continued use of the service after changes take effect constitutes acceptance. The "Last updated" date at the top reflects the most recent revision.
17. Severability
If any provision of these terms is found unenforceable, the rest remains in effect.
18. Entire agreement
These terms, the Privacy Policy, and any signed proposals or invoices constitute the entire agreement between you and Curbrank for the services described, and supersede prior communications.
